Terms of Service

1. Acceptance

By accessing or using pcircle.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Site. These Terms apply to all visitors and anyone who contacts us through the Site. This Site is intended for business use only and is directed at adults aged 18 or over. By using the Site you represent that you meet this requirement. These Terms are entered into between you and 瑞澄科技有限公司 (Taiwan Unified Business No. 62064339, operating under the brand name PCIRCLE; referred to as "PCIRCLE", "we", or "us" throughout these Terms).

2. About our services

瑞澄科技有限公司 provides AI adoption consulting, AI Native software system and product development, prototype-to-production work, AI agent build, deployment and ongoing operations management, and AI process automation services to businesses. The Site is a marketing and information channel only; it does not constitute professional, legal, financial, or technical advice of any kind. Actual engagement terms — including the scope, term, and fees of any ongoing operations or managed service — are governedsolely by separate written service agreements signed between PCIRCLE and each client.

Our own products: PCIRCLE operates separate products of its own — currently PCircle SimpleERP (erp.pcircle.com) and OpenBiz-Booking (booking.openbiz.work). The pages on this Site describe those products; they do not themselves register you for them or give you access to them, and any features, prices or trial terms shown here are indicative — what applies is whatever each product's own site states at the time. Registering for and using either product is governed by that service's own terms and privacy policy, which are separate from these Terms. These Terms cover this Site only.

Partners Circle Coffee Chat: we hold a free, open consultation and discussion session at a fixed location in Taipei on a regular schedule (currently Saturday afternoons). Attendance is free and voluntary. Anything discussed at these sessions is general conversation only, does not constitute professional advice, and does not create any engagement, advisory, or service relationship. We reserve the right to change the time, location, or capacity of a session, or to cancel individual sessions.

3. Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable regulations
• Attempt to gain unauthorised access to any part of the Site or its infrastructure
• Introduce viruses, malware, ransomware, or other harmful or disruptive code
• Use automated scripts, bots, or web-crawlers to access the Site without our prior written consent
• Scrape, crawl, or reproduce content for commercial purposes without written permission
• Impersonate 瑞澄科技有限公司, its staff, or any other person or entity
• Submit false, misleading, or fraudulent information through the contact form
• Engage in any conduct that could disable, overburden, damage, or impair the Site or interfere with others' use
• Attempt to probe, scan, or test the vulnerability of the Site or any related network or system

We reserve the right to terminate or restrict your access to the Site, without notice, for any violation of these Terms.

4. Intellectual property

All content on the Site — including text, graphics, logos, brand assets, and code — is owned by or licensed to 瑞澄科技有限公司 and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent, except for personal, non-commercial reference use. Any unauthorised use may violate copyright, trademark, and other applicable laws and could result in legal action.

One carve-out: the webfonts the Site serves from /fonts/ are third-party typefaces — Noto Serif TC, DM Sans and DM Mono — used under the SIL Open Font License. That licence, not the paragraph above, governs them, and it permits redistribution. A copy travels with them at/fonts/OFL.txt.

5. No warranty

The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that: (a) information on the Site is accurate, complete, current, or error-free; (b) the Site will meet your specific requirements; (c) the Site will be uninterrupted, timely, secure, or error-free; or (d) any defects or errors will be corrected. You assume all risk arising from your use of the Site.

6. Limitation of liability

To the fullest extent permitted by applicable law, 瑞澄科技有限公司 and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, revenue, data, goodwill, or business opportunities — arising from or in connection with your use of, or inability to use, the Site or any content on it, regardless of whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all direct damages shall not exceedNT$1,000 (New Taiwan Dollars one thousand). If you are dissatisfied with any part of the Site, your sole remedy is to discontinue use. Some jurisdictions do not allow the exclusion of certain implied warranties or the limitation of liability for certain types of damages; in such cases, our liability is limited to the maximum extent permitted by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless 瑞澄科技有限公司 and its officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Site; (b) any content or information you submit through the Site; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

8. External links

The Site may contain links to third-party websites. We have no control over, and are not responsible for, the content, accuracy, privacy practices, or terms of those sites. Links do not constitute endorsement or recommendation. We recommend reviewing the terms and privacy policies of any third-party sites you visit.

9. Force majeure

We shall not be liable for any failure or delay in making the Site available due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, power failures, internet outages, or failure of third-party infrastructure or services.

10. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the Taiwan Taipei District Court (臺灣臺北地方法院) as the court of first instance for resolution of any dispute arising out of or in connection with these Terms or your use of the Site.

11. General provisions

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 瑞澄科技有限公司 with respect to your use of the Site and supersede all prior representations, understandings, and agreements. Any actual consulting or service engagement is governed solely by the applicable separate written service agreement.

No waiver. Our failure or delay in exercising any right or enforcing any provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of PCIRCLE 瑞澄科技有限公司 to be effective.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, or any rights hereunder, at any time without restriction.

12. Changes to these Terms

We may update these Terms at any time. The "Last updated" date above reflects the most recent revision. For material changes, we will take reasonable steps to provide notice. Continued use of the Site after any change constitutes your acceptance of the updated Terms.
